The Prestige Estates acquisition
Bengaluru-based developer Prestige Estates Projects Ltd has agreed to acquire 100% of Gloind Vintage Infra Pvt Ltd at a gross enterprise value of about ₹519 crore, the company said in a stock-exchange filing on Tuesday, 3 November 2026.
The purchase is being made through Prestige Retail Ventures Ltd, a wholly owned subsidiary, under a securities purchase agreement dated 3 November. It is an all-cash transaction. The sellers are DSFF Series 2, a scheme of Dickey Special Situation Investment Trust, and Jasbir Singh, according to a PTI report.
The numbers behind the deal
Enterprise value is the total value placed on a company, including its debt and other obligations, rather than just the price paid for its shares. In this case, Prestige said it would buy Gloind's equity shares for ₹5 lakh, while the gross enterprise value of the transaction is about ₹519 crore. The filing, as reported, did not provide a breakdown of how the ₹519 crore figure is made up.
Gloind Vintage Infra was incorporated on 3 April 2025, has its registered office in Gurugram, Haryana, and is engaged in real estate, construction and land development. It reported nil turnover for 2025-26 and a net worth of ₹0.04 million, according to Business Upturn, which cited the filing.
Gloind's subsidiary, Tarun Realtors Pvt Ltd, is the more substantial entity. Incorporated in December 2004 and based in Bengaluru, Tarun Realtors is involved in real estate development and construction. It reported turnover of ₹0.81 million in 2025-26 and a net worth of ₹819.03 million, or about ₹81.9 crore. Its turnover was ₹1.49 million in 2024-25.
After completion, Gloind will become a wholly owned step-down subsidiary of Prestige Estates, and Prestige will indirectly own and control all of Tarun Realtors. Completion is expected on or before 12 November 2026. The company said the deal is not a related-party transaction.
Why it matters
The filing, as reported, did not disclose which land or projects sit within Tarun Realtors. Business Upturn reported that the company described the purchase as part of its focus on expanding its real estate footprint through strategic asset acquisition.
Buying a company that already holds land or development rights is a common route for large developers to add to their pipeline. Acquiring the entity, rather than the land directly, can transfer existing approvals and contracts along with the asset.
Prestige Group is one of India's leading real estate developers, with a presence across major cities, and is headquartered in Bengaluru. Because Gloind is registered in Gurugram while its operating subsidiary is in Bengaluru, the deal involves entities in both cities, though the filing did not specify where the underlying assets are located.
What investors should watch
For shareholders, the key questions are what assets Tarun Realtors holds, how much of the ₹519 crore relates to land versus liabilities, and when any project on the acquired land might be launched. These details may emerge in the company's investor presentations or subsequent disclosures. The deal size is modest relative to Prestige's overall business, but it adds to a steady flow of land-related transactions by large developers looking to replenish their launch pipelines.
